Buy-Side Engagements
We provide end to end support on our buy-side engagements. A buy-side engagement typically consists of the following phases:
Project Assessment and Research Phase
During this phase we conduct extensive discussions with the client to understand their investment rationale/ acquisition criteria. This helps in formulating an appropriate acquisition strategy and directs the research of targets. We use our research analysts, technical advisors and global advisory network to arrive at a long-list of targets meeting the broad acquisition critera. A discussion with the client is conducted to arrive at a short-list of preferred targets.
Negotiations, Commercial Term Sheet
During this phase, we prepare valuation and structuring models for the shortlisted companies, conduct negotiations with targets, assist in arriving at term sheet outlining all the commercial terms of the transaction.
Closing
During this phase, we facilitate due diligence (operational, financial, legal), agreement negotiation to ensure an orderly and timely closure of the transaction.
Sell-Side Engagements
We work closely with the Boards of Companies and their management teams to help them achieve the right sale/strategic partnership transaction. Typical sell-side engagements would involve the following while working closely with the clients in completing the transaction.
Preparation of Investment Memorandum
Based on the company’s business profile and Dua Consulting’s knowledge of the market, we prepare an Investment Memorandum which enables the transaction to be presented in front of potential acquirers/partners in a structured format.
In this phase, Dua Consulting helps the client to select the best option to position the transaction, with a view to maximizing value for its shareholders and employees.
Target Short-listing
Based on a complete market analysis and partner identification, potential partners (buyers) are identified and with inputs from the client a short-list of strategic investors is created.
We use our extensive global network, relationships with companies and private equity funds to identify the right partners.
Negotiations and Term Sheet
Dua Consulting helps the client analyze various offers from potential strategic investors and assists in deal negotiations.
Due Diligence and Closure
Dua Consulting helps the client in co-coordinating the overall due diligence process and negotiation of the final definitive agreements with the potential acquirer.
